United Software Developers Inc. conducts business under the assumed name USD GoPay. References in these Terms to “Company,” “we,” “us,” or “our” mean United Software Developers Inc., including its DBA USD GoPay.
The Company operates the CRM platform accessible through:
Both URLs provide access to the same unified CRM environment.
By accessing, registering for, purchasing, subscribing to, or using any website, software, platform, application, API, or service provided by the Company (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).
If you are using the Services on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
These Terms apply to all use of the Services occurring on or after the Effective Date. If you accessed or used the Services prior to the Effective Date, your continued access or use on or after the Effective Date constitutes acceptance of these Terms.
If you do not agree to these Terms, you must discontinue use of the Services immediately.
The Company has offered software platforms, technology services, and related solutions for many years prior to the Effective Date. These Terms represent the consolidated and current governing agreement applicable to all continued and future use of the Services.
For purposes of these Terms:
“Platform” means the unified CRM environment accessible through BrokersOnTheGo.com and NYPassRater.com.
“Services” means all websites, software, platforms, applications, APIs, and tools provided by the Company, including but not limited to:
- WebDB
- USD GoPay
- USD GoSign
- MVRNOW
- Omitarisk
- Merchant services tools
- Messaging and SMS features
- Document management and e-signature tools
- Driving record and property data informational searches
- Custom development services
“Merchant Services” refers to payment-related software, onboarding workflows, reporting, and integrations provided under the USD GoPay brand.
“CRM Services” refers to customer relationship management tools within the Platform.
“Messaging Services” refers to SMS and communication features.
“Document Signing Services” refers to USD GoSign.
“Search Services” refers to MVRNOW, Omitarisk, and similar informational lookup tools.
The Services may include, without limitation:
- CRM platforms and workflow tools
- Merchant services software and onboarding systems
- Payment facilitation technology and integrations
- Messaging and SMS communication services
- Electronic signature and document management
- Driving record and property data informational searches
- APIs and third-party integrations
- Custom website design and development
- Technical support, updates, and enhancements
The Company may modify, suspend, or discontinue any Service at any time without liability.
You must be at least 18 years of age and legally capable of entering into a binding agreement. Use of the Services by minors is prohibited.
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
- Accept responsibility for all activity under your account
You must notify the Company immediately of any unauthorized access or security breach.
Certain Services require payment of fees, including:
- Subscription fees
- Usage-based fees
- Processing-related charges
- Project-based or custom development fees
All fees are nonrefundable unless expressly stated otherwise. Failure to pay may result in suspension or termination of Services. You are responsible for all applicable taxes.
The Company is not a bank, money transmitter, card network, acquiring bank, or payment processor unless expressly stated in a separate written agreement.
Payment processing, underwriting, settlement, reserves, and transaction handling are performed by independent third-party processors and financial institutions, including but not limited to TSYS (“Payment Partners”).
Approval for Merchant Services is not guaranteed.
You agree to:
- Provide truthful onboarding information
- Comply with all applicable laws and card-network rules
- Maintain PCI-DSS compliance
- Use Merchant Services only for lawful business purposes
You are solely responsible for:
- Chargebacks, refunds, reversals, fines, and penalties
- Reserves, delayed settlements, or withheld funds
- Losses arising from fraud or disputed transactions
The Company is not responsible for funds held or delayed by Payment Partners.
Merchant Services may be suspended or terminated immediately if required by Payment Partners, regulatory obligations, or risk considerations.
The Platform allows users to connect their Google Gmail or Microsoft Outlook accounts to send emails directly from the CRM.
We may request permission to:
- Send email on your behalf
- Access your basic profile information (email address, display name)
We do not request permission to:
- Read your inbox
- Access your sent mail folder
- Access message history
- Access contacts or calendars
- Modify or delete emails
We use these permissions solely to:
- Send emails you compose within the CRM
- Attach files you choose to include
- Display a history of emails you sent through the CRM only
We do not:
- Import or store incoming emails
- Access your mailbox
- Store client replies
- Use email data for advertising
Attachments sent through the CRM are not stored on Company servers. They are stored on your Gmail or Outlook server. If you delete the email or attachment from your email provider, the CRM will still show the email history entry, but the attachment will no longer be accessible.
You may revoke access at any time:
If you use SMS or messaging Services, you represent and warrant that:
- You have obtained all legally required consents
- You comply with TCPA, carrier rules, and applicable laws
- You provide opt-out functionality
Message delivery is not guaranteed. Misuse may result in suspension.
Electronic signature Services are provided as a technology platform only.
The Company does not provide legal advice and does not guarantee enforceability. You are responsible for determining legal validity and compliance.
NONFCRA USE ONLY.
The Company does not operate as a consumer reporting agency under the FCRA.
You agree not to use data for:
- Employment decisions
- Tenant screening
- Credit or lending decisions
- Insurance underwriting
- Licensing or eligibility determinations
You must independently verify all results.
You may not use the Services to:
- Violate any law
- Engage in fraud or harassment
- Infringe intellectual property
- Reverse engineer or scrape the Services
The Company may suspend or terminate access at its discretion.
All software, platforms, trademarks, content, and designs are owned by the Company or its licensors.
A limited, nonexclusive, revocable, nontransferable license is granted for authorized use.
The Company maintains commercially reasonable administrative, technical, and physical safeguards and is SOC 2 Certified.
No system is completely secure.
The Services may rely on third-party providers. The Company is not responsible for third-party outages, errors, or data accuracy.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRECEDING TWELVE (12) MONTHS.
THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify and hold harmless the Company from any claims arising from:
- Your use or misuse of the Services
- Regulatory or legal violations
- Payment disputes or chargebacks
- Breach of these Terms
You are responsible for compliance with all local laws.
These Terms are governed by the laws of the State of New York.
Exclusive venue lies in the state or federal courts located in New York County, New York.
The Company may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
